David Randolph is the Managing Partner and Co-Founder of Nexus Legal LLP. He has been recognized by Best Lawyers in America for Banking and Finance (2024, 2025, and 2026) and by Super Lawyers (2026) for his representation of financial institutions in complex commercial lending transactions.
David represents banks and lenders in their most complex financings: large syndicated and co-lender credit facilities, multi-state healthcare deals, and structured transactions that don’t fit a template. Since founding Nexus Legal, he has led more than $2 billion in loan transaction volume for the firm, including a syndicated facility of $400 million, and over nearly two decades in commercial finance he has represented banks of every size, from community and regional institutions to money center banks among the largest in the country.
Healthcare lending is among the deepest parts of his practice, where he represents multiple lenders in multi-state financings across a broad range of facility types and operating structures. His broader work spans intercreditor and subordination matters, interest rate hedging, C-PACE, acquisition and construction financing, equipment and C&I facilities, reverse 1031 exchanges, tenant-in-common and condominium structures, leasehold financings, and commercial real estate lending across nearly every asset class.
David is known for his drafting precision, his negotiation with borrower's counsel, and his ability to close on aggressive timelines without cutting corners. Clients value his responsiveness and his direct, practical advice. He has deep experience in Oklahoma mortgage tax structuring, working through statutory exemptions, refinance credits, and document structuring to keep the tax on a financing as low as Oklahoma law allows. His background as a former municipal planning commissioner means he is at home with zoning analysis, zoning reports, condominium declarations, and the land use issues that come up in commercial real estate lending.
David serves as the firm’s representative to the Loan Syndications and Trading Association (LSTA), making Nexus the only LSTA member law firm in Oklahoma. He is also the firm's representative to Finastra for its widely used LaserPro lending platform: Finastra engages a single law firm in each state to confirm the platform’s loan documentation complies with local law, and in Oklahoma that firm is Nexus Legal. He is involved with the Risk Management Association.
National law firms, including Am Law 100 firms, have engaged David as Oklahoma local counsel for opinion work and substantive transactional support.
Licensed in Oklahoma and Texas, David handles transactions involving collateral and borrowers across the country, coordinating with local counsel as needed to close in every jurisdiction.
Before founding Nexus Legal, David was a partner at a prominent Oklahoma-based law firm for 16 years, where he built his practice representing banks in complex commercial finance transactions.
David is Past Chair of the Oklahoma Bar Association’s Business and Corporate Law Section and the Tulsa County Bar Association's Corporate Counsel Section. He has served as a Planning Commissioner for the City of Jenks and supports the Tulsa Area United Way as a Tocqueville Society member.
